Transcript: Form 16 (Revised) Certificate of Amendment to the Articles of Incorporation of Second Baptist Church of the City of Detroit
Registered Office: 441 Monroe; Detroit 26, Michigan.
We, the undersigned, being the (“President or Vice President” struck through) Chairman and (“Secretary or Assistant Secretary” struck through) Clerk of the Second Baptist Burch of the City of Detroit, a corporation existing under the provisions of Act No. 327 of the Public Acts of 1931, as amended, do hereby certify, as required by said act:
That at a meeting of the Members of said corporation duly called and held on the 29th day of September, A. D. 1948, it was resolved by the vote of a majority of the Members of each class entitled to vote and by a majority of the Members of each class whose rights, privileges or preferences are changed thereby, that Article No IV & V of the Articles of Incorporation be and the name (“is” struck through) --- (illegible) amended to read as follows, viz.:
Article IV: The Officers of this church shall be the Pastor of the church, Nine Trustees, thirty-two Deacons, a Clerk and a Treasurer.
Article V: At each regular election to be hereafter held there shall be elected three Trustees, also a Clerk and a Treasurer; and the term of office of the Clerk and Treasurer shall expire on the first Wednesday in January next ensuing their election; and the term of office of all Trustees who may be hereafter elected shall expire on the first Wednesday of the Third January after their election. Vacancies in office may be filled by election at any meeting of the church, provided that notice of said election shall have been given upon at least two Sunday’s [sic] next preceding such election, and in case of the failure to elect officers or Trustees at the regular annual election, the vancancy [sic] or vacancies caused thereby may be filled in like manner; and persons elected either as Trustees, Clerk or Treasurer to fill vacancies, from whatever cause arising shall continue in office during the un-expired portion of the term.
